TMX Group’s Legal and Corporate Affairs (LCA) department is a high-performing team of legal and other professionals responsible for providing TMX Group and its subsidiaries with the full suite of legal and other corporate services they need to support and develop their businesses, including with respect to corporate, securities, governance, regulatory, commercial and intellectual property matters.

Reporting to the Vice President, Legal and Corporate Services, the Director, Strategic Procurement and Legal is responsible for leading a team of procurement professionals providing services that span the end-to-end procurement lifecycle and providing senior legal leadership and strategic support for commercial initiatives. The role is critical in enabling operational excellence while also supporting strategic growth objectives and priorities. In addressing sourcing, procurement and certain vendor management needs across the enterprise, the role is expected to drive effective expense management, deliver organizational efficiencies, build strong relationships with key vendors and support TMX’s risk posture through third party risk management. In addition, working closely with business leaders and other internal stakeholders, this role will provide legal support for a wide range of commercial initiatives (including the procurement of new technologies, assets and businesses, the development and launch of new products and services, and other business arrangements) that support TMX’s key operational and growth objectives, as well as day to day contracting needs across TMX’s diverse businesses. In this capacity the successful candidate will be required to provide expert legal advice on all aspects of these initiatives, identifying issues across a variety of domains, bringing an enterprise lens, providing effective legal project management, and using expert judgment to assess risks and offer solutions.

Key Accountabilities:

  • Lead the enterprise-wide strategic procurement function, including a team of procurement professionals that oversee procurement for all key business segments.
  • Lead the design, development and execution of strategy, policies, procedures, and toolsets to best support the procurement needs of the enterprise.
  • Develop and implement a multi-year procurement transformation roadmap, focusing on people, process and technology to enhance capabilities and business alignment.
  • Develop and maintain effective relationships with the senior leadership team, supporting strategic planning of key initiatives with vendor requirements.
  • Oversee critical strategic vendor relationships with significant impact to the organization.
  • Support the resolution of enterprise-level vendor risk and compliance issues.
  • Evolve and advance the procurement function to centralize and unify the approach to managing both technology and non-technology vendors across the enterprise and integrating new businesses.
  • Develop and lead the execution of strategies to support cost management, vendor optimization, value creation and performance and third party risk management, leveraging knowledge of industry best practices.
  • Provide senior leadership with regular reporting on key initiatives and vendor metrics to support decision making.
  • Drive operational efficiency, including through enhanced legal and procurement integration.
  • Review, draft, negotiate and otherwise provide senior legal advice on a variety of contracts across TMX’s various business lines and corporate functions, including agreements with TMX’s customers, suppliers and business partners.
  • Act as the legal lead on complex, sensitive, high impact/ risk and/or strategically important initiatives, including new product/service launches, procurement of critical infrastructure, technology and outsourcing transactions, and strategic business arrangements.
  • Support M&A transactions and related integration activities.
  • Provide legal advice on all commercial aspects of initiatives from structuring through to execution and implementation.
  • Provide legal project management, and co-ordinate engagement of other stakeholders (including outside counsel where required).

Skills and Experience:

  • Highly motivated and experienced lawyer with excellent leadership, interpersonal, communication, organizational, project management and decision-making skill.
  • Experience leading, mentoring and developing a team of professionals supporting procurement or significant experience interfacing with a procurement team.
  • Minimum 10 years of relevant legal experience at a top law firm or in-house department.
  • Called to the Bar in Ontario with membership in the Law Society of Ontario.
  • A professional procurement certification or MBA is an asset.
  • Strong business and financial acumen, with the ability to build compelling business cases and present procurement-related metrics and initiatives to senior executives.
  • Experience drafting, negotiating, structuring and advising on various types of complex commercial contracts and transactions, including technology and intellectual property agreements.
  • Experience in the financial services industry is an asset.
  • Exceptional relationship building and influential skills.
  • Strategic thinker with a client-centric mindset.
  • Proven track record of leading transformation initiatives and delivering on commitments.
  • Quickly understand organizational dynamics and business priorities, and able to work effectively in a fast-paced, results-driven environment.

This role is hybrid  (2 - 3 days/week  in the office) - in our Toronto Office
