Director, Corporate Governance, Asia

We are seeking a skilled attorney with a strong interest in corporate governance to join our Asia team. This role offers an opportunity to apply legal expertise in a strategic governance context, supporting compliance, board operations, and risk management across multiple jurisdictions. You will collaborate with senior management and regional stakeholders to ensure robust governance frameworks and ethical standards.

Position Responsibilities:

Governance

  • Advise on governance frameworks, policies, and procedures to ensure compliance with global standards and local regulations.

  • Monitor regulatory developments and provide proactive guidance on governance-related legal requirements.

  • Draft and review governance documentation, including board resolutions, subsidiary records, and attestations.

Regulatory Compliance

  • Monitor and ensure compliance in the Asia region with all relevant local, regional, and international laws and regulations with respect to corporate governance.

  • Where necessary, liaise with regulatory bodies, either directly or with the support of the local corporate governance team, and ensure timely and accurate reporting.

Board & Stakeholder Support

  • Support board and committee operations: prepare agendas, review materials, and ensure compliance with fiduciary and statutory obligations.

  • Assist with onboarding new directors and maintaining board skills matrices.

  • Act as a trusted advisor to senior management, the Head of Corporate Governance, Asia and market General Counsel(s) on governance matters.

Technology & Innovation

  • Contribute to digital transformation initiatives in governance processes.

Required Qualifications:

  • 5 PQE.

  • Ability to operate strategically while delivering hands-on solutions.

  • Pragmatic, solutions-focused approach with strong problem-solving skills

  • Exceptional interpersonal and communication abilities across all levels. Mandarin or another regional language a plus.

  • Demonstrated experience in senior stakeholder engagement and relationship management
