Job Summary:
The Director will assist and support the Partnership and Business Development team with the governance of a regional network of Ambulatory Surgical Centers which promote Virtua's continued growth and success as a market leader within the region. This position will define, align and influence the governance and partnership relations of all the ambulatory surgical facilities within Virtua's network. This role includes education and distribution of Virtua board representatives across the ASC Partnerships. In addition, responsibilities also include oversight of due diligence activities for new transactions to ensure that diligence activities are completed and transaction risks are mitigated.
Position Responsibilities:
Responsible for oversight of Operating agreements and
governance documents for ASC partnerships. Serve as a resource to our partners and the ASC team regarding governance questions working closely as needed with Virtua counsel ensure appropriate response in line with the operating agreements and other partnership documents.
Review and maintain the inventory of Board members at each
partnership location. Proactively consider appropriate Virtua representation, working closely with the ASC team, to ensure the proper mix of skills and personalities on each board to ensure success. Make recommendations to the ASC Leadership Team regarding new or replacement board members as needed to ensure immediate readiness of new representatives.
Develop and maintain a cogent and thorough education program in conjunction with legal counsel to ensure all elements of the board’s responsibilities are described and competency of the new members is measured. Perform periodic education sessions with the ASC team regarding governance updates and responsibilities. Provide detailed education to a new Board member on the actual partnership which they will be assigned and make introductions and coordinate visits as appropriate.
Serves as the point person for all changes to ownership updates for all partnerships along with keeping accurate and up-to-date changes to all Board seats, officer/chairman changes. Work with partners to keep a current list of indirect owners. Track and assure we have all the appropriate paperwork for share purchases or redemptions for our ASC partners. Ensure all documentation and calculations are completed and align with the company documents.
Provide continuous education to the members to ensure company documents and policies are being adhered to.
Collaborate with Administrator, Management Company personnel and physician partners to monitor and identify the appropriate board agenda to ensure compliance topics are addressed as well as, actions regarding center performance, financial and operational support needs, at the center level. Also foster strong working relationships with board members, physician partners and other industry experts. Evaluate the need for implementation of systems and processes to support the core business.
Attend all necessary Board meetings at center level and participate as an active Board member where assigned. Work to understand the needs of each Business so that each Board is addressing the critical issues at that center. Participate as necessary in conversations or other center-level meetings as required so that Virtua is represented. Working closely with the operational team, provide support to all Virtua Board members and/or Physician Board members/investors so that they are kept appraised of issues that will require their input or vote.
Provide support and work with Partnership and Business Development team during document development of a new transaction to review and understand the business documents. Lend expertise and be prepared to identify Virtua Board members and update on transaction status and educated on any specific details related to a pending transaction.
Position Qualifications Required:
Required Experience:
Minimum of 5 years of progressive experience in health care delivery (preferably in an ambulatory surgery setting) with a track record of exemplary leadership in the healthcare industry. Previous experience with day-to-day knowledge of all aspects of healthcare operations, and healthcare or Ambulatory surgical center transaction experience is preferred. Should possess excellent knowledge of Board governance and overall experience working with corporate business documents. Strong negotiation skills including qualitative, quantitative, and process analytical skills demonstrated by the ability to identify and use documents and data to set goals and priorities, make decisions, and measure performance. Must have excellent verbal and written communication skills and demonstrated skills as a strategic thinker, capable of building strong relationships and collaborator, as well as excellent business development skills.
Required Education:
Bachelor's degree required. An advanced degree in Business (MBA), Public Health, Marketing, Economics, or Healthcare Management preferred.
Annual Salary: $124,602 - $199,995 The actual salary/rate will vary based on applicant’s experience as well as internal equity and alignment with market data.This position is eligible to participate in one of Virtua’s annual incentive compensation plan (AICP). The amount is subject to the terms and conditions of the plan document.
