The Corporate Secretariat provides corporate governance advice and support to the Directors of the Bank’s legal entities, committees and branches. The role will interface directly with Board members of the Bank’s legal entities to support in providing guidance on corporate governance protocol, to draft governance documentation and maintain official records to meet the legal obligations of the Bank’s legal entities.

Responsibilities:

  • Provide day‑to‑day operational and administrative support to the in‑house Corporate Secretariat function of the Bank.

  • Support internal governance, regulatory and compliance‑related processes in close cooperation with key infrastructure and control functions (e.g. Legal, Compliance, Risk, Finance), including board and committee documentation.

  • Assist in the preparation of materials for management, board and committee meetings, including reporting, governance files, process documentation and standard corporate legal and administrative documentation (e.g. approval of annual accounts, changes to the registered office, board and management changes).

  • Track, review and maintain corporate and governance documentation (e.g. powers of attorney, signatures, mandates, statutory and regulatory documents).

  • Support in the organisation of board, committee and shareholders’ meetings and support the preparation and drafting of related documentation (invitations, agendas, minutes, resolutions, proxies, etc.).

  • Support internal governance calendars, follow‑ups and action tracking.

Skills:

  • First professional experience and strong interest in corporate governance or corporate secretarial work, preferably within a bank or other regulated financial institution.

  • Familiarity with supporting board and committee processes, including preparation of agendas, meeting packs, minutes and follow‑ups.

  • Ability to coordinate effectively with multiple internal stakeholders across business and control functions.

  • Strong organisational skills with the ability to manage competing priorities and deadlines in a regulated environment.

  • High attention to detail and accuracy, combined with a strong sense of professionalism, discretion and confidentiality.

  • Working proficiency in English and German.

The successful candidate will be asked to present a recent criminal record.
