Summary of our opportunity

This is an exciting opportunity to join ICG at a pivotal point in its journey – the Group has grown very quickly and this role will be critical to ensuring that the governance platform is ready for the next stage of growth. ICG is searching for an energetic team player to take on the role of Company Secretary Manager. Reporting to the Head of Secretariat, you will provide support on company secretarial and corporate governance matters across the ICG Group, including ICG plc and ICG Enterprise Trust plc. The role will sit within the growing in-house Group Legal team and will be based in ICG’s London head office.

Primary responsibilities for this role include (but are not limited to):

  • Supporting with various CoSec tasks and projects, including, director appointments, intra-group transactions such as dividend payments and restructuring, and acting as a general point of contact for miscellaneous CoSec questions
  • Drafting minutes, resolutions and ensuring the timely filing of regulatory submissions
  • Assist with the preparation and release of Stock Exchange Announcements and FCA PDMR dealing notifications
  • Manage the administration of the ICG Enterprise Trust plc buyback programme
  • Oversight of the legal entity management system (GEMS), ensuring the accurate maintenance of Group entity records (including structure charts) and responding to Group KYC requests
  • Liaising with other ICG teams and external advisors (auditors, external counsel, registrar and corporate services providers)
  • Drafting sections of the ICG plc and ICG Enterprise Trust plc annual reports and assisting with AGM preparations
  • Coordinate UK subsidiary board meetings, including the preparation and circulation of meeting papers and minutes
  • Maintain CoSec process notes, monitor for changes in legislation and best practice, conduct research on peer companies and advise on implications for the Group

Key Requirements/ Qualifications

You will have demonstrable experience of:

  • Familiarity with the UK Listing Rules and UK Corporate Governance Code
  • Legal or CoSec qualification (or currently studying towards one)
  • Experience with GEMS or similar entity management systems
  • Experience of an international group and working closely with colleagues and external stakeholders in different jurisdictions
  • Strong communication and interpersonal skills, with the ability to work effectively across jurisdictions and with senior stakeholders
  • Strong attention to detail, organisational skills, and a proactive, solutions-focused mindset
