Corporate Counsel

Toshiba Global Commerce Solutions is seeking a Corporate Counsel. The Corporate Counsel operates out of the corporate headquarters in Research Triangle Park, NC.  This position reports directly to the Deputy General Counsel.  The primary responsibilities of this position include managing corporate governance for the company’s foreign subsidiaries, maintaining, and advising employees about the company’s delegation of authority, and assisting with matters for the Finance, Treasury and Tax departments. The role will also support operations in Latin America (drafting and negotiating contracts with customers and business partners and advising on local laws). We are seeking someone with 3-5 years of experience as a licensed lawyer in North Carolina.

The TGCS Legal Department is comprised of generalists that work seamlessly as a unit.  Each lawyer in our department is assigned responsibility to support multiple functional areas and senior executives in our company, but as needs arise, we work together to solve problems and facilitate company objectives.  From time to time, each of our lawyers may work on a variety of contracts, employment matters, managing litigation and other adversarial matters, international corporate governance and regulatory compliance.  

Responsibilities:

  • Manage Subsidiary Governance (board meeting preparation, statutory filings, powers of attorney, etc)
  • Maintain the company’s Delegation of Authority and advise employees about it.
  • Draft and negotiate a variety of commercial contracts, primarily related to the sale of technology products and the procurement of related services.
  • Assist the Deputy General Counsel with matters for the Procurement, Human Resources, Finance, Treasury, and Tax departments.
  • Respond to requests from auditors (internal and external)
  • Resolve adversarial matters
  • Perform other related duties as assigned

Required Skills:

  • Juris Doctorate Degree
  • 3-5 years of legal experience.
  • Licensed to practice law in North Carolina
  • Ability to work well with others (clients and colleagues should seek their advice and follow it)
  • Ability to gather relevant facts, understand applicable law, and determine an appropriate course of action
  • Ability to analyze issues well
  • Ability to exercise sound judgment
  • Ability to provide practical advice
  • Ability to recognize and resolve problems
  • Recognition of when they should seek assistance from more senior lawyers
  • Ability to perform administrative responsibilities, including managing projects within a budget
  • Given the global responsibilities of the role, this person will need to be available via phone and email during off hours.
  • Self-motivated, with the ability to work independently and to work collaboratively as part of a team in a busy, fast-paced environment
  • Strong written and verbal communication skills. Confidence in dealing with charismatic clients.

Preferred Skills:

  • Corporate governance experience is highly preferred 
  • Experience negotiating contracts
