Lendlease Singapore is currently searching for a Company Secretary to be based at our Head office in Singapore. You will play a pivotal role in supporting and working together with the Board of Directors, senior management and legal on corporate secretarial, corporate governance and compliance matters for LREIT and Lendlease’s private subsidiary companies. This hands-on role offers exposure to be at the heart of Singapore’s REIT sector which is a dynamic and growing industry. 
 

Responsibilities:

  • Support the Board of Directors and Senior Management on corporate governance matters and regulations to ensure that the Manager and LREIT comply with relevant statutory and regulatory requirements including those under the Companies Act, ACRA, MAS and SGX-ST listing rules. 
  • Organise board of directors, committees and shareholders meetings. Prepare and circulate meeting agendas and papers, take minutes and track matters arising. Release SGX announcements on AGM related documents such as Notice of AGM, Annual Report, Sustainability Report and Minutes.  
  • Prepare directors’, committees’ and shareholders’ resolutions and managing the circulation, approval and execution of documents. 
  • Prepare and lodge SGX announcements, SGX Regco filings and statutory filings with ACRA. 
  • Administer CorpPass users and assignment of e-services for the Manager and LREIT’s subsidiaries  
  • Work with business and functional teams to prepare annual report. 
  • Update, maintain and file statutory records, registers, minutes book, structure chart and internal database of company records. Process invoices and carry out administrative work for corporate secretarial, compliance training and legal matters. 
  • LREIT compliance monitoring, administration and tasks including maintaining various registers, upkeep of policies and implementation of compliance plan. 


Requirements:

  • Qualified as a chartered secretary in Singapore or at least 5 years of prior experience in providing corporate secretarial support for public listed companies in Singapore.  
  • Any prior experience with Real Estate Investment Trusts in Singapore would be an advantage. 
  • Any prior experience with compliance in Singapore would be an advantage.
