Company Secretary will be a key governance professional responsible for ensuring that an organization complies with legal, regulatory, and statutory requirements. They will act as a vital link between the board of directors, management, shareholders, and regulatory authorities.
Your responsibilities
- Organize board meetings, Committees (CSR & others), and General Meetings.
- Draft agendas, notices, and minutes of meetings in compliance with statutory requirements.
- Ensure timely filing of statutory returns, forms, and documents with the Registrar of Companies (RoC) and other authorities.
- Maintain statutory registers, records, and documents as required under the Companies Act, 2013.
- Monitor compliance with FEMA, RBI, SEBI, labour laws, and other applicable regulations.
- Act as the primary point of contact with regulators, auditors, legal advisors, and consultants.
- Provide guidance to management on legal, secretarial, and compliance matters.
- Drafting and reviewing shareholder agreements & related contracts / legal documents.
- Manage shareholding structures, issuance / allotment / cancellation of shares, transfer of securities, and related compliance.
- Handle matters related to corporate restructuring, fund raising / repatriations, and due diligence, especially on the capital reduction and shares buy-back scheme as proposed by the management.
- Provide guidance on the structuring, incorporation, and registration of new companies/entities within the group, including drafting AoAs, MoAs, shareholder agreements, and coordinating approvals.
- Identify areas of potential compliance risks and recommend corrective measures.
- Prepare compliance checklists and periodic reports for management and the Board.
- Scrutiny of corporate governance & financials aspects of legal agreements with vendors.
- Review and Vet vendor agreements, service contracts, and commercial documents.
- Ensure agreements comply with applicable laws and safeguard company interests.
Your profile
- Qualified Company Secretary (Member of ICSI).
- 5 to 10 years of experience in an MNC.
- Familiarity with corporate restructuring especially capital reduction/buy-back would be an added advantage.
- Candidates with legal cum Company Secretary background would be preferred.
- Excellent drafting and communication skills.
- Strong organizational and documentation abilities.
- High ethical standards, confidentiality, and integrity.
- Ability to work proactively & independently and collaborate with cross-functional teams.
- Proficiency in MCA21 portal & RBI / FEMA portals.
- MS Office proficiency.
