Department Overview

By becoming a part of the Motorola Solutions Legal team, you become a part of helping public safety and commercial customers obtain the products and services needed for the moments that matter. From the legal procurement team working with subcontractors and vendor to obtain the supplies needed to run the business, to the software legal team analyzing new product offerings, to the legal pre-sales team negotiating contracts with customers, to the post-sales project team to complete our contracts as contracted on time and on budget, our team assist supports and facilitates the innovation and business efforts of Motorola Solutions.


Job Description

The Commercial Counsel is responsible for the preparation of Request for Proposal responses, the negotiation, interpretation and/or administration of contracts, subcontracts and licensing agreements; prepares contracts for review and ensures compliance with company policy as well as applicable laws/regulations.  A key responsibility of the position will be to drive and implement robust Risk Management. This role develops negotiation strategies with internal business partners, evaluates risk exposure, and makes recommendations to business partners or legal counsel. The full-time position may be remote.

Job Responsibilities:

  • Draft, review, edit, finalize and negotiate routine (and sometimes medium complexity) transactional agreements to meet business and legal requirements. Agreements include purchase/sales; end user license, professional services, maintenance agreements, consulting and advisory, outsourcing and hosted services agreements, software as a service (SaaS) and other technology related agreements.

  • Manage contract documentation/approval flows to ensure consistency with internal processes.

  • Assist with the development of streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts.

  • Assist with contract disputes, including understanding the issues, providing guidance on solutions, drafting settlement agreements.

  • Research and respond to general legal inquiries from the business that may relate to contract disputes, regulatory issues and new business initiatives.

  • Advise and coordinate with multiple stakeholders across marketing, product, finance, implementation and sales throughout the pre-sales, sales and post-contract cycle on a broad range of legal and compliance issues for the Motorola Solutions portfolio of products and services.

  • Provide pragmatic counsel and guidance for the accomplishment of overall business objectives of the Company, while fully complying with applicable laws and regulations and avoiding unacceptable risks; perform informed cost-benefit analysis when identifying risks under tight deadlines. This includes supporting the business and product development processes by providing key inputs and advice on legal risks and issue, prioritizing risks and ensuring compliance with government and customer-imposed requirements.

  • May provide support on non-commercial practice area issues (labour and employment, corporate governance, ethics, etc.).

  • Proactively develop and maintain technical knowledge in specialized area(s), remaining up-to-date on current trends and best practices.

  • Works somewhat autonomously and seeks management input in unusual situations, high complexity issues and matters that may pose some legal, financial and/or reputational risk to the company.

  • Exercises reasonable judgment to determine when to escalate complex matters or decisions to more senior level counsel or manager.

Desired Skills/Qualifications:

  • Requires a Juris Doctor Degree or equivalent

  • 2+ years of legal experience. Seeking experience in corporate transactional, contracts negotiation and/or commercial transaction experience preferably with background in technology matters, government contracts, construction, and/or intellectual property.

  • Qualified to practice law in Canada.

  • Ability to speak and write in English fluently is required. Functional knowledge of French is a plus.

  • In-house legal experience preferred, including supervision of outside counsel.

  • Some experience working with legal policies and procedures and demonstrated ability to identify potential legal issues.

  • Experience approaching legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our company’s success while protecting its legacy and future.

  • Excellent negotiation, consultation, and analytical skills.

  • Excellent problem-solving skills, sound judgment and decision-making skills.

  • Strong interpersonal, presentation and communication skills (including written and verbal).

  • Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties with regard to negotiation of agreements and general problem solving.

  • Experience applying knowledge of multidisciplinary business principles and practices to achieve successful outcomes in cross-functional projects and activities.

  • Business acumen, with ability to understand the company’s business objectives and anticipate the legal issues that could arise.

  • Well organized, detail oriented and adept in a fast-paced environment.

  • Work under pressure, meet tight deadlines, and balance a heavy workload.

  • Required to work with the highest level of ethics and discretion.

  • Drive results and execution: Identifies issues and raises them so that appropriate actions can be taken to resolve problems or improve the client experience; takes personal ownership to follow through on commitments and achieve results with high quality; and demonstrates a strong bias for action and is able to balance priorities to keep plans on track.

  • Experience drafting, reviewing and negotiating commercial and SaaS sales agreements and proficiency in third-party hosted and cloud-services issues, service level agreements, industry trends and best practices.
