We're seeking a Commercial Counsel to support our U.S. kyu Pulse entities with day-to-day legal matters, with a primary focus on commercial contracting and business transactions. This role will work closely with our agencies and their clients to facilitate deal-making while protecting our business interests. The ideal candidate will thrive in a fast-paced, creative environment and understand the unique legal challenges facing modern advertising and technology companies. This position offers significant growth opportunities and exposure to multiple companies within our network.

KEY RESPONSIBILITIES

Commercial Contracting (70%)

  • Draft, review, and negotiate a high volume of commercial agreements for multiple kyu Pulse entities, including client services agreements, master services agreements, statements of work, vendor contracts, privacy, and partnership agreements
  • Support deal structuring and risk assessment for complex, multi-jurisdictional client engagements
  • Collaborate with business development teams to close deals efficiently while maintaining appropriate risk management
  • Develop and maintain contract templates and playbooks to streamline the contracting process
  • Manage contract lifecycle from negotiation through execution and renewal

Product & Service Development Support (20%)

  • Advise on legal aspects of new product and service launches across multiple kyu Pulse entities
  • Support innovation initiatives and emerging technology implementations
  • Review and negotiate technology licensing agreements, software development contracts, and platform partnerships

General Multi-Company Support (10%)

  • Lead cross-functional legal initiatives spanning multiple kyu Pulse entities
  • Support strategic business development projects and new market expansion efforts
  • Assist with regulatory compliance projects affecting multiple companies
  • Participate in process improvement and legal operations initiatives
  • Handle ad hoc legal matters and special assignments as they arise
  • Support privacy and data protection compliance initiatives
  • Provide training to business teams on legal and compliance matters


REQUIRED SKILLS AND EXPERIENCE

  • Education: J.D. from an accredited law school
  • Experience: 3-5 years of commercial law experience, preferably in-house at a technology, media, or professional services company
  • Bar Admission: Licensed to practice law in the U.S. 
  • Contract Expertise: Demonstrated experience drafting and negotiating complex commercial agreements, with particular strength in services agreements
  • Business Acumen: Strong understanding of business operations and ability to provide practical, business-oriented legal advice
  • Communication: Excellent written and verbal communication skills with ability to explain complex legal concepts to non-legal stakeholders
  • Technology: Proficiency with contract management systems and legal technology tools


DESIRED SKILLS AND EXPERIENCE

  • Experience in advertising, marketing services, creative agencies, or advertising technology
  • Familiarity with digital media, content licensing, and intellectual property matters
  • Experience with international commercial transactions
  • Background in privacy and data protection law (CCPA, GDPR, etc.)
  • Previous experience supporting creative or professional services businesses
  • Understanding of agency-client relationships and industry-standard terms

 

Total Compensation:

  • Base Salary (USD): $150,000 - $190,000 
  • Target Annualized Discretionary Bonus: 10% 
  • Target Total Cash (USD): $165,000 - $209,000
