We are seeking an experienced Commercial Contracts Manager to lead B2B contract lifecycle management and negotiation strategy. Reporting to the General Counsel, you will partner closely with our Government Contracts Manager to build a comprehensive contracting function supporting our commercial business with data vendors and international clients. While the Government Contracts Manager focuses on the U.S. Government portfolio, you will own and scale all non-U.S. Government efforts, to include commercial contract strategy, international contract strategy, vendor relationships, and international client agreements.
Responsibilities
- Lead Commercial Contract Lifecycle Management: Oversee contracts from initial inquiry through execution and renewal for all commercial B2B agreements, ensuring efficient processes that enable sales teams to close deals faster.
- Draft and Negotiate Complex B2B Agreements: Prepare, negotiate, and finalize Data Purchase Agreements with US and international data vendors, Master Service Agreements (MSAs), Task Orders, Statements of Work (SOWs), and NDAs with international customers and clients.
- Manage Strategic Vendor and Client Relationships: Lead contracting strategy for commercial data vendors and international clients, negotiating pricing structures, data rights, licensing terms, and service levels that support operational requirements and growth objectives.
- Identify and Mitigate Commercial Risk: Conduct thorough risk assessments of contractual terms, implementing mitigation strategies to protect company interests while maintaining deal viability and compliance with contractual obligations.
- Partner with Government Contracts Manager: Collaborate to ensure unified contracting strategy across government and commercial business lines, providing seamless support to sales teams and maintaining consistent risk management standards.
- Support and Enable Sales Teams: Serve as strategic partner to sales organization, providing guidance on contract structures, negotiation approaches, and deal terms that balance revenue objectives with risk management.
- Streamline Contract Processes: Develop standardized contract templates, playbooks, and approval workflows that reduce cycle times and enable efficient operations in fast-paced commercial environments.
- Coordinate Cross-Functional Teams: Work with legal, finance, sales, and operations to ensure contract terms align with business objectives, financial requirements, and operational realities.
- Apply Commercial and Financial Acumen: Analyze pricing structures, payment terms, and revenue recognition implications to create mutually beneficial deals that support business growth and profitability.
- Support International Business Expansion: Develop contracting strategies for new international markets, understanding different legal frameworks and business customs across various regions.
Qualifications
- 5-10 years of commercial contract management experience in B2B environments, preferably in SaaS, technology, defense, or data services industries with vendor and international client experience.
- Proven B2B contract negotiation expertise: Demonstrated success negotiating complex commercial agreements including MSAs, data licensing agreements, and international contracts, balancing commercial objectives with risk management.
- Data vendor and international contracting knowledge: Experience with data provider contracts, licensing models, and international commercial contracting practices across different jurisdictions.
- Contract type expertise: Strong understanding of various commercial contract structures (fixed-price, T&M, subscription-based, licensing agreements) and their appropriate business applications.
- Cross-functional collaboration and process optimization: Ability to work effectively across sales, legal, finance, and operations teams while developing efficient contract processes, templates, and workflows that enable scaling.
- Commercial and financial acumen: Strong understanding of revenue recognition, pricing strategies, margin analysis, and deal structuring, with ability to evaluate financial implications of contract terms.
- Contract management systems proficiency: Experience with contract lifecycle management (CLM) platforms and document management systems.
- Professional certifications preferred: Certified Commercial Contracts Manager (CCCM), Certified International Contracts Manager (CICCM), or similar credentials are highly valued.
- Excellent communication skills: Ability to negotiate effectively, explain complex contractual concepts to non-legal audiences, and document contract rationale and risk assessments clearly.
- International experience: Ability to support international growth in various countries, often serving as a liaison between a non-U.S. entity/party and the company.
