Associate Counsel, M&A Transactions

Description of Role:

The Associate Counsel, M&A and Transactions will report to the Corporate Counsel, M&A and Transactions and will assist Integrity’s Legal Department in its full spectrum of legal M&A and other strategic transactional activities. This is a rare and unique opportunity to join one of the fastest growing companies in the U.S. and play a key role in helping Integrity execute on its strategic vision. This attorney will interact with seasoned and experienced M&A and transactional attorneys and business development leaders, high-level executives, as well as outside counsel.


This position will collaborate effectively across the company to help the business identify and implement practical business solutions to achieve its goals. The Associate Counsel, M&A and Transactions will be highly organized, business-practical, and able to confidently work on an independent and collaborative basis. In addition, the successful candidate will be solution driven, highly service-oriented, pragmatic and proactive in their approach.

Experience:

The successful candidate will have a minimum of 3-4 years of M&A transactional legal experience gained in a law firm and/or in-house setting. Large law firm experience specializing in M&A transactions is strongly preferred.

Description of Role:

  • Working with internal deal team and internal legal team to advise the business in its M&A and strategic activities
  • Conduct thorough due diligence on potential acquisition targets
  • Coordinate with appropriate stakeholders internally to ensure a smooth integration process following transactions
  • Ability to work in a fast-paced environment and handle multiple, competing demands simultaneously
  • Coordinate with outside counsel and other stakeholders internally as necessary to ensure robust diligence and integration process
  • Assist legal team in managing outside counsel spend
  • Advise on legal strategy
  • Assist internal legal team with managing important strategic initiatives
  • Driving continuous improvements, scalability and operational excellence in deal processes and execution
  • Assisting members of the strategic transactions legal team on other high priority tasks and matters


Required Skills and Qualifications:

  • JD from an accredited law school with exceptional academic credentials.
  • Candidate must be (i) admitted to the bar in at least one of the fifty states and (ii) eligible for admission to the Texas State Bar.
  • At least 3-4 years of legal experience primarily in M&A transactions at a top law firm and/or in-house
  • Highly responsive and service-oriented attitude
  • Extremely organized and process-oriented, with the ability to juggle multiple, competing priorities and prioritize accordingly
  • Ability to work under pressure, prioritize, and manage workloads to meet deadlines in a challenging and fast-paced environment
  • Excellent legal and business judgment
  • Experience independently negotiating complex business transactions
  • Demonstrated capacity to actively solve complicated legal and business problems
