About the Role

We are looking for a special kind of B2B commercial lawyer to be an early member of our legal team as an Associate Commercial Counsel/Commercial Counsel. You will be responsible for supporting the company’s commercial legal function, and for managing and overseeing both inbound and outbound agreement negotiations and drafting (such as critical customer, reseller, and vendor agreements). Ideally, we are also looking for a lawyer with experience in how Cloud and hardware B2B deals work in a channel sales model and how privacy and data protection issues show up in commercial transactions. This role reports into the Deputy General Counsel, Commercial and is based in our office in San Mateo, CA.

What You'll Do

  • Negotiate and draft a wide variety of technology-related B2B commercial agreements (including hardware, software, and cloud sales deals and reseller and distributor agreements), as well as a variety of vendor agreements
  • Think on your feet to negotiate and draft agreements quickly and practically in order to facilitate fast closure of end customer deals
  • Be excited to develop and maintain in-depth working knowledge of Verkada products
  • Be comfortable taking risks while still managing a reasonable compliance posture
  • Build relationships with people and leaders across the organization
  • Develop systems to automate and bring efficiency to the agreement review process in order to scale the work over time
  • Be ready to roll up your sleeves and wear multiple hats to help the company grow

What You Bring

  • J.D. degree from an ABA-approved law school and admission to a state bar
  • 3-6+ years of relevant legal experience (preferably with at least 2 years of in-house counsel experience at a technology company)   
  • Deep experience negotiating and drafting B2B software, hardware, and cloud commercial agreements and license agreements, as well as a wide variety of vendor agreements and other types of commercial agreements
  • Strong knowledge of data privacy regulations such as GDPR, CCPA, etc.
  • Experience working with contract lifecycle management (CLM) platforms, such as IronClad, as well as Google Workspace  
  • Ability to work independently but also collaborate effectively with a team
  • Excellent legal and business judgment with the ability to provide practical, concise advice
  • Proven ability to manage multiple projects, prioritize, and meet deadlines
  • Excellent verbal and written communication skills with a high degree of attention to detail

Annual Pay Range

At Verkada, we want to attract and retain the best employees, and compensate them in a way that appropriately and fairly values their individual contribution to the company. With that in mind, we carefully consider a number of factors to determine the appropriate starting pay for an employee, including their primary work location and an assessment of a candidate's skills and experience, as well as market demands and internal parity. A Verkada employee may be eligible for additional forms of compensation, depending on their role, including sales incentives, discretionary bonuses, and/or equity in the company in the form of restricted stock units (RSUs)

Below is the annual on-target earnings (OTE) range for full-time employees for this position, comprised of base compensation and commissions (if applicable).
