We are looking for an individual who shares the same values as us to take up the position of Assistant Manager –Company Secretarial

Here is what you need to know about this role:

  • Independently handle the full spectrum of company secretarial work for the Group’s companies in over 30 jurisdictions.
  • Organise Board, committee and shareholders’ meetings; prepare notices, agendas and meeting materials; and follow up on resolutions and action items.
  • Ensure statutory and regulatory compliance for Hong Kong and offshore companies under the Companies Ordinance and other applicable company laws.
  • Handle statutory filings and corporate maintenance, including annual returns, changes in directors, company secretary, registered office, share capital and other corporate changes.
  • Prepare directors’ reports and other corporate documents.
  • Support directors and senior management with compliance disclosures.
  • Maintain accurate corporate records, statutory registers, meeting papers and files with proper filing, retrieval and confidentiality controls.
  • Liaise with external service providers, advisers and the Companies Registry on subsidiary maintenance and compliance matters.
  • Monitor regulatory updates, assist with internal compliance reviews, update policies and procedures, and provide day-to-day compliance advice.
  • Collaborate with internal teams (legal, finance, etc.)  to support business projects and day-to-day operations.
  • Perform other company secretarial and ad-hoc duties as assigned.

You might be a good fit if you have/are …

  • Bachelor’s degree in Law, Business, Finance, Company Secretarial Practice or related disciplines.
  • Associate member of The Hong Kong Chartered Governance Institute (HKCGI).
  • Solid knowledge of the Hong Kong Companies Ordinance and relevant statutory compliance rules and regulations.
  • At least 8 years of relevant company secretarial experience (candidates with less experience will be considered for the position of Senior Officer - Company Secretarial).
  • Proficient in Microsoft Office and CSA software applications.
  • Excellent command of written and spoken English and Chinese.
  • Strong interpersonal, communication and coordination skills; able to work independently, multitask efficiently, pay close attention to detail and meet tight deadlines
  • Well-organised, responsible and proactive.
