Job Description

This position will set and manage strategy, service standards, and process for the syndicated credit review function at U.S. Bank, which is responsible for reviewing most of the syndicated credit agreements that U.S. Bank enters as a lender but not the administrative agent. A key part of this role will be developing and implementing an updated service model that optimizes the use of internal and external resources, including technology. The successful candidate will join a dynamic, diverse, and collaborative team of legal professionals supporting all of U.S. Bank’s commercial lending activities.

Key Responsibilities

*Lead small team (currently four attorneys, including this role) that provide legal support to all business lines that make syndicated loans, including Institutional Client Group, Commercial Real Estate, Working Capital Finance, and Loan Capital Markets.

*Review syndicated credit agreements, commitment papers, and related documents, managing high volumes, time-sensitive matters while exercising sound legal judgment and prioritization.

*Monitor syndicated loan market and provide internal training on substantive legal issues and process.

* Design, implement, and continuously improve a scalable service and coverage model that delivers bestinclass client service and leverages technology and outside counsel in innovative and costeffective ways.

* Manage and oversee outside counsel supporting syndicated reviews, including evaluating and deploying law firm technology solutions where appropriate.

*Support secondary loan trading.

* Serve as a key legal advisor on complex, novel, or escalated syndicated lending matters, collaborating with business, credit, operations, and risk stakeholders to identify and manage legal risk.

SKILLS AND EXPERIENCE

Required Qualifications

A minimum of 10 years’ experience practicing law, including both

  • Law firm experience leading complex commercial transactions and
  • In-house experience at a regulated financial institution.

Strong and demonstrated technical knowledge of syndicated loan transactions, the syndicated lending market, and LSTA guidance.

Strong drafting, negotiating, issue-spotting and risk identification skills.

Exceptional written and verbal communication skills with both legal and business audiences.

Strong interest in strategic leadership and process transformation. 

Demonstrated ability to work both independently and collaboratively and to set priorities and exercise judgment in a fast-paced and dynamic environment.

Demonstrated ability to develop trusting relationships with internal clients, outside counsel, and other internal stakeholders such as credit, operations, and risk functions.

Juris Doctor from an ABA accredited institution.

Admitted to State Bar in good standing.

Preferred Skills/Experience

Experience with Co-Counsel, Harvey, and/or other legal AI products and solutions.

Experience with fund finance and/or structured lending products.

In-house management experience.

Experience with process improvements and incorporation of technology solutions into legacy legal processes.

Demonstrated commitment to service of the community and profession (e.g. mentorship, pro bono, participation in professional organizations).

Location Expectations

This role requires working from a U.S. Bank location three (3) or more days per week.

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $149,515.00 - $175,900.00
