The Senior Lead Counsel 1 is a senior level position responsible for providing Citi businesses and functions with legal counsel and thought leadership on all matters related to Technology, Operations and Privacy, with a focus on the vendor procurement and commercial transactions space. The overall objective of this role is to provide commercial legal support, advice, and guidance across a broad range of practice areas such as Procurement, Outsourcing, Data Privacy, Banking Secrecy, Operational Resilience, Technology Risk Management, Cybersecurity, for all businesses in the bank.
We’re currently looking for a high caliber professional to join our team as SVP, Senior Lead Counsel l (Internal Job Title: Senior Vice President- C14) based in Mumbai. This role requires a pragmatic, proactive lawyer who is willing to develop a thorough understanding of Citi’s Technology businesses and its operations. He/She should have experience in the vendor procurement and commercial transactions space preferably in practice or as in-house at a global or regional bank / financial institution or Information Technology company, and a solid conceptual / practical grounding in the laws and regulations of the geographies Citi operates in throughout Asia. He/She will need to provide input into strategic decisions, and exercise sound legal judgement to develop proactive, risk-appropriate, and commercially business-oriented solutions.
In this role, you’re expected to:
- Be responsible for providing Citi businesses and functions with legal counsel on all matters pertaining to technology and operations; supporting strategic initiatives and product/service launches, providing subject matter expertise and interpretations of relevant laws, rules, regulations, and industry practices, and advising business management/leadership on all types of legal matters, in particular in relation to vendor procurement and commercial transactions.
- Objectively evaluate Technology business decisions by applying institutional knowledge against industry standard, widely accepted business practices, laws, rules, and regulatory guidelines, escalating as appropriate.
- Collaborate across internal lines of business and control/support functions as well as global geographies to achieve coordinated and efficient outcomes on matters related to Citi’s Technology businesses and its operations; coordinate closely with legal peers aligned to associated businesses.
- Participate in planning and development initiatives; contribute to objectives by providing thought leadership using knowledge of industry, laws, and regulations.
- Proactively identify, evaluate, and contribute to the appropriate management of legal, regulatory, and reputational risk by collaborating with other control functions like Compliance and Risk, following relevant legal developments, participating in internal projects, and performing other related tasks.
- Manage day-to-day legal activities such as providing commercial legal support, in particular reviewing and advising on a wide range of general commercial contracts (for e.g. master service agreements, hosting services agreements, licensing agreements, SOWs, Work Orders, NDAs etc), as a subject matter expert and provide legal advisory services to business partners or internal stakeholders.
- Monitor management of complex legal issues, escalating when necessary.
- Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.
As a successful candidate, you’d ideally have the following skills and exposure:
- Be a skilled commercial lawyer and negotiator who can actively work with a wide range of teams and functions in helping them to achieve pragmatic, commercial solutions to a wide range of challenges, while also identifying and addressing key risks given the need to comply with many and often potentially conflicting legal, regulatory and internal policy requirements.
- Ability to work independently and with initiative on complex transactions, with a focus on applicable Asia Pac legal and regulatory requirements.
- An enthusiastic team player who can actively work with colleagues in different countries or regional clusters while managing a diverse and significant range of transactional work.
- 15+ years PQE, preferably in practice or in-house at a global or regional bank / financial institution or Information Technology company.
- Substantial experience with general commercial/contractual/transactional work essential.
- Knowledge and understanding of relevant laws, regulations (including but not limited to Outsourcing, Data Privacy, Banking Secrecy, Operational Resilience, Technology Risk Management, Cybersecurity) and practices as well as industry trends that impact Citi’s Technology businesses and its operations are essential.
- Regional (Asia), multi-jurisdictional experience or cross border experience required.
- A self-starter who will take initiative in managing complex legal matters, supporting transactional activities, and mitigating risks.
- Experience with complex deals, demonstrated ability to analyze issues and develop legal solutions.
- Effective communication and negotiation skills and ability to build and maintain trusted relationships.
- Excellent leadership, interpersonal, organizational and relationship management skills
- Strong time and project management skills - ability to prioritize and manage multiple tasks effectively.
- Team player and with positive attitude.
- Proven ability to apply sound judgement while managing assignments in a demanding, fast-paced environment.
- Bar license in good standing to practice law.
