POSITION OVERVIEW
The candidate will be responsible for providing legal advice to support strategic initiatives and projects undertaken by the Bank’s corporate functions and business lines, including commercial lending, venture capital (both funds and direct investments), subordinated debt, and structured financing. In respect of these initiatives and projects, the candidate will be called upon to coordinate and manage the delivery of legal support by working in close collaboration with other subject-matter experts within Legal Affairs and externally.
The candidate must have strong interpersonal and analytical skills and a desire to collaborate with others to find creative solutions and work under tight deadlines. A key element of this position involves contributing to BDC’s role in delivering programs and offerings to empower SMEs to respond to the big challenges of our time, including improving their productivity, diversifying their operations and markets amidst an uncertain trade environment and seizing opportunities to contribute to Canada’s defence and national sovereignty initiatives.
OPPORTUNITIES OF THE ROLE
Demonstrate ability to navigate and adapt with agility across multiple areas of law.
Collaborate with internal partners to generate innovative ideas and advance opportunities to extend BDC's support to entrepreneurs in alignment with BDC’s strategic goals.
Play a leadership role in cross-department, and/or multi-jurisdictional strategic initiatives and special projects.
Provide legal advice for the design, negotiation and operationalization of strategic initiatives, including the drafting of legal documentation and supporting decision-making authorities with respect to legal risk management.
Engage with multiple corporate functions and business lines.
Exercise independence of mind and demonstrate the courage to take a stand on important legal and strategic matters, driving change as needed to advance BDC’s priorities.
WHAT WE ARE LOOKING FOR
Bachelor’s degree in law and/or Juris Doctorate.
Member in good standing of a Canadian provincial bar or law society.
Minimum of 12 years of experience in commercial law in private practice or in-house.
Proactive, driven, detail-oriented individual who can analyze and synthesize large volumes of information to present to internal and external partners.
Demonstrated ability to work efficiently and collaboratively as part of multidisciplinary teams.
Negotiation experience and expertise in structuring, negotiating, implementing and supporting partnerships and transactions.
Project management experience.
Bilingualism, written and spoken, in English and French.
Understanding of legal and regulatory framework that governs financial institutions is an asset.
In-house experience with a regulated financial institution an asset.
Financing experience is an asset.
Resourcefulness, integrity, independence of mind, with courage to take a stand on important issues and drive change as necessary.
