What Commercial Transaction contributes to Cardinal Health
Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to protect the organization's assets, operations and image. This function provides legal counsel related to commercial, corporate securities, intellectual property, labor and employment, and regulatory law, among other areas. This function also litigates all company legal matters, manages outside counsel and manages legal operations.
Commercial Transaction provides legal advice, counsel and services to domestic and international businesses in support of customer, vendor, supplier, and strategic relationships, including drafting and negotiating contracts, participating in and providing input on business strategy, and otherwise acting as primary day-to-day legal contacts for business clients.
Job Summary
The Legal & Compliance Counsel, serves as the primary legal partner to a business unit, providing counsel on legal issues and risk mitigation guidance.
Reviews and negotiates commercial agreements with external parties on behalf of the business, protecting the business’ interests, provides strategic solutions to the CHII leadership team, manages company compliance matters and provides guidance and advice to internal stakeholders.
This job also reviews external communications to confirm legal compliance and liaises with a variety of Legal and other internal teams to resolve legal issues.
Qualifications required
8 -12 years of relevant experience
Bachelor's degree in law
Corporate Secretary certification
Responsibilities
Provides general legal advice to management and other stakeholders on a variety of legal questions and issues including determination of appropriate legal actions and projects associated costs for business leaders.
Drafts initial format and terms for commercial agreements and delivers agreements to customers and vendors to initiate negotiations. Interfaces with Contract Administration teams in order to set-up contracts. Reviews all terms and revisions from external parties and manages the iterations of commercial agreement terms.
Meets with external parties to assist in the negotiation of agreements to achieve the most favorable terms for the business. Based on combination of legal considerations and business acumen, counsels business leaders on the acceptance or refusal of external party terms.
Works with HR and management on labour and employment issues within India. Working closely with HR to draft, implement and ensure compliance with HR and Labour Law policies. Collaborate with HR Department to ensure the implementation of consistent disciplinary action in cases of compliance violations in line with corporate requirements and local labour and employment laws.
Promote compliance culture and awareness and develop/deliver compliance related policy training and ensure continuous training. Work with local teams to ensure adequate compliance oversight and monitoring in all required areas.
Support investigations on compliance concerns raised by management, employees or others through the Business Conduct Line or other means. Ensure compliance with regulations and controls by examining and analyzing records, reports, operating practices, and documentation, recommending opportunities to strengthen the internal control structure.
Work closely with local management and other internal stakeholders to ensure the implementation of applicable legal, compliance and data privacy related policy & procedures. Liaises with different internal stakeholders to ensure compliance with all applicable data privacy laws, information security controls where data offshoring is concerned.
Oversight and advisory with regard to compliance with India based statutory and regulatory requirements.
Oversight, advisory and management of company secretarial obligations including corporate governance and compliance, meeting management and record keeping, regulatory liaison, and document management.
As a trusted partner to the business, proactively identifies legal risks and provides insights on how the business can incorporate risk mitigation into strategic planning.
When the business engages in litigation, serves as a primary liaison and expert on the business in support of the Litigation team.
Advises business unit leaders on terms, risks and due diligence during mergers and acquisitions activities.

Willingness to "roll up your sleeves" to execute key projects successfully

Ability to use different types of technology such as Microsoft Office, Teams, Zoom etc.
