Senior Corporate Paralegal

Cambridge, Massachusetts Full time

The Role:

In this role, you will work on a variety of entity management and corporate governance matters, with a primary focus on overseeing Moderna’s subsidiaries in the U.S. and abroad, as well as many opportunities to support corporate legal initiatives and needs.

Here’s What You’ll Do:

Subsidiary Governance/Entity Management:

  • Primary responsibility for maintaining domestic and international corporate entities, including formation, consolidation and on-going maintenance filings, including coordinating signature requests, registering and maintaining the good standing of entities and ensuring domestic and international annual reports are filed

  • Draft form resolutions (e.g., appointments of officers, delegations of authority, banking resolutions, payments of dividends and other distributions), incumbency and secretary’s certificates, etc., and circulate the same for execution

  • Coordinate with international finance, accounting and tax teams to execute international subsidiary board meetings, file annual accounts and maintain signing authority (POAs)

  • Lead and manage complex, multi-function programs, prioritize effectively, anticipate obstacles, and handle multiple projects and deadlines

  • Maintain the entity management platform to ensure corporate records and minute books for all entities are kept up-to-date

  • Collaborate with  finance, tax, and treasury teams regarding bank account opening and maintenance and KYC requests

Support the Corporate Legal team by:

  • Responding to questions from various departments within the organization about Moderna’s corporate structure

  • Providing administrative support as necessary to the Corporate Securities team, including opening Purchase Orders, setting up new law firms in the new vendor system, and renewing Purchase Orders

  • Providing additional support to the Corporate Securities team as needed on other projects and initiatives

  • Working with other members of the Corporate Legal Team on special projects and initiatives

In carrying out these responsibilities, you will work closely with members of the Corporate Securities team, as well as other Corporate Legal and Finance Teams and senior executives across the Moderna organization.  You will also play a key role in managing international corporate legal counsel in each jurisdiction where Moderna has a subsidiary.

Here’s What You’ll Bring to the Table:

  • Bachelor’s degree from an accredited university or college required

  • A minimum of 5-7 years prior experience as a paralegal in a global public company or in a corporate law firm

  • Experience in legal entity corporate governance and company secretarial duties, legal form management, and other services related to providing legal functions to a large corporation

  • Strong ability to work within a global, diverse team environment

  • Experience managing international corporate legal counsel and registered agents, and familiarity with international governance requirements

  • Experience with entity management platform(s) and software (hCue, Diligent entities, GEMS)

  • Qualification as a Massachusetts notary, or willingness to become qualified

  • Flexibility and willingness to work with partners across the globe and in various time zones

  • Excellent attention to detail and strong sense of initiative and follow-through

  • A positive attitude and strong work ethic

  • Ability to maintain strict confidentiality

  • Familiarity with standard office technology and software, such as MS Word, Excel, Outlook and PowerPoint

The salary range for this role is $109,200.00 - $174,600.00. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. An individual’s position within the salary range will be based on several factors including, but not limited to, specific competencies, relevant education, qualifications, certifications, experience, skills, performance, and business or organizational needs.

The successful candidate may be eligible for an annual discretionary bonus, other incentive compensation, or equity award, subject to company plan eligibility criteria and individual performance.
