Job Summary
AmeriLife is the industry’s leading independent marketing organization (IMO)

Thomas H. Lee Partners (“THL”) purchased a majority stake in AmeriLife from J.C. Flowers & Co in 2020. Established in 1974, THL is one of the oldest and most experienced private equity firms in the United States. Based in Boston, MA, THL has 95+ investment professionals and a senior team averaging over two decades of relevant experience. Since its inception, the firm has raised more than $34 billion of equity capital, invested in more than 160 businesses with an aggregate purchase price of over $210B, and completed more than 500 add-on transactions.
Genstar Capital joined THL as an equal investor in June 2022, creating a
strong foundation to accelerate AmeriLife’s next stage of growth and
development. Genstar is a San Francisco-based leading PE firm that has been actively investing in high-quality companies for over 30 years. Genstar works in
partnership with its management teams to build industry-leading businesses
while generating outsized returns. Genstar currently has approximately $49B
of assets under management and pursues investments in target segments of
the financial services, software, healthcare, and industrial industries. Most
recently, the firm closed Fund XI in April 2023 with approximately $12.6B in
total commitments. Genstar has consistently been ranked as a Top 6 Private
Equity firm globally 2019-2022 (out of ~500 PE firms) by HEC-Dow Jones
Private Equity Performance Reports.
The Manager of Corporate Development will be responsible for supporting overall business growth by sourcing, analyzing, and executing mergers and acquisitions.
AmeriLife began pursuing a deep acquisition strategy in 2020, after having received its investment from Thomas H. Lee Partners. Since then, the company has completed nearly 100 acquisitions across various M&A strategies in both its Health and Wealth business segments. AmeriLife and its businesses are high performing and tripled in EBITDA since 2020. This is a proven acquisition and integration platform within a highly fragmented market and there remains a massive go-forward opportunity to continue to achieve outsized growth. The company is also at an exciting inflection point to pursue various-sized transactions across multiple lines of business and M&A strategies. In January, the Corporate Development team announced the acquisition of Crump, the largest transaction in the industry’s history, which further helped build the firm’s holistic Wealth management business across life, annuities and wealth management.
The successful candidate will be comfortable as an outspoken advisor
and thought partner to the Head of Corporate Development, and other members of the Executive Leadership Team (ELT). The Manager will be a leader in sourcing, execution and strategy for transactions across all AmeriLife’s Health and Wealth lines of business. This role is crucial in driving AmeriLife’s inorganic growth strategy and will see a tremendous amount of deal flow, S/he will be able to see the tangible impact of her/his work and will also be responsible for mentoring the junior team and helping the team develop worldclass corporate development processes and procedures.
Job Description
Responsibilities
- Can act as primary execution manager on transactions, including:
- Building business cases and financial models,
- Creating deal structures,
- Supporting negotiation of LOIs and purchase agreements, and
- Managing the diligence process
- Participates well in acquisition sourcing conversations
- Contributes to creation of a group training agenda
- Responsible for overseeing transactions and also a key resource to junior staff throughout each stage of the M&A evaluation process
- Partners closely with the business and operations teams on post-deal integrations
- Provides strategic recommendations to senior leadership on optimal deal structures, addressing complex issues, while coaching junior teammates on execution and implementation
- Maintain awareness of market trends to identify opportunities for growth within existing offerings and more broadly
- Work closely with other members of the Corporate Development team to continue the group’s team based approach
- Supports team training and development initiatives
Background
- Minimum of 7-10 years of working experience, with 5+ years in private equity, internal corporate development, investment banking or similar complex transactional work.
- Industry experience in or around core Health or Wealth business segments of the company required. Must be able to work across AmeriLife’s Health and Wealth verticals. A deep passion for working on a high volume of deals in a growing, fast-moving environment is required.
Skills
- Strong foundation in financial statement & analysis, valuation methodologies, accounting and merger consequences
- Experience driving multiple business deals through all phases; ability to develop relationships with target firms and then manage and negotiate complex transactions from start to finish
- Possesses deal intuition to identify red flags and escalate them
- Must be comfortable working with sophisticated investors, as well as to source and develop relationships with acquisition targets, which are often entrepreneurial and independently owned businesses.
- Adept at analyzing competitive landscapes while providing synthesized analysis, drawing conclusions, and concisely communicating findings
- Analytical and strategic thinker with a high attention to detail and who is capable of simultaneously handling multiple projects from multiple stakeholders
- Mentor and teach junior team on evaluating M&A opportunities
- Proficient in the Microsoft suite including Excel, PowerPoint, Outlook and other transaction execution and implementation tools.
