Job Summary
The Mergers & Acquisitions (“M&A”) Sr Corporate Counsel is responsible for assisting in a variety of legal matters related to mergers and acquisitions. The primary focus for this role will be mergers and acquisitions and other high-level commercial transactions. The role will also require counsel and advice in numerous other areas, including employment law, real estate, and regulatory matters.
Principle Duties and Responsibilities
Draft documents, negotiate and provide counsel with respect to mergers, acquisitions, and other commercial transactions
Ensure personnel of newly acquired operations are trained to comply with company policy and federal, state and local laws, rules and regulations
Assist with employment and human-resources related legal matters
Review, interpret and negotiate contracts
Participate in the completion of real estate purchase and sale transactions as part of M&A
Research substantive law and prepare various reports as required
Manage the compliance portion of the due diligence process related to mergers and acquisitions
Prepare reports for the Board of Directors related to the M&A process
Participate in the integration and on-boarding of acquired targets
Assist in providing legal support for initiatives within the company’s corporate venture capital group
Performs other duties as required.
Qualifications
Law degree (JD) from an ABA-accredited US law school.
Admitted to practice law in at least one state.
Minimum 5 to 10 years of experience as a practicing attorney with experience in M&A transactions.
