Job Description

1.   Corporate Secretariat:

·         Organize and set up Shareholder Meetings, Board of Directors Meetings, and Executive Committee Meetings (annually, quarterly, bi-monthly, and on an ad hoc basis).

·         Coordinate with relevant individuals to prepare and upload documents for each agenda item to the appropriate SharePoint site for meeting participants.

·         Take notes and draft initial minutes of the meetings.

·         Arrange for the execution of minutes and other relevant documents.

·         File corporate registrations as necessary.

·         Obtain certificates of the corporation (e.g., Certificate of Incorporation, Certificate of Corporate Seal) from the local Legal Affairs Bureau upon request from internal clients.

2.   Review and Drafting of Legal Documents:

·         Conduct initial reviews and prepare comments on NDAs, vendor agreements, legal documents related to investment trusts, distribution agreements, and other standard documents. For standard documents, finalize them through negotiation with relevant internal departments, and for other documents, seek review and sign-off from the Head of Legal.

·         Review template agreements and other statutory ancillary documents with legal counsel and update the templates.

·         Revise documents and prepare comments in accordance with the Head of Legal's advice.

3.   Legal Document Management:

·         Arrange for the execution of agreements signed off by the Head of Legal.

·         Deliver documents to be signed by affiliates.

·         File fully executed documents and log them.

·         Convert documents to PDF format for better legal database management.

4.   Administrative Support:

·         Arrange legal-related meetings with other stakeholders upon request from the Head of Legal.

·         Provide additional support to the Head of Legal as needed.

Position Qualifications

·         Strong client service focus with a commitment to client satisfaction.

·         Ability to provide effective and strategic legal support.

·         Ability to carefully review legal documents, provide constructive comments, and discuss them with relevant stakeholders.

 

Skills / Other Personal Attributes

·         Native fluency in Japanese and business fluency in English.

·         Team player with excellent collaboration skills.

·         Bachelor's degree required.

·         Microsoft Office (Word, Excel, PPT, Outlook)
