Pentair is seeking Senior Counsel to join our legal team in Golden Valley, MN.  This position will principally support the Pool business, as well as provide support to other legal and compliance initiatives as a member of the legal team.

You will:

• Provide the full scope of direct legal support to the Pool business, which includes advising on the areas of commercial and manufacturing related transactions, marketing, intellectual property, product regulatory compliance, risk and safety, and anti-trust.
• Work extensively with the sales, finance, and sales operations teams to establish, implement, and maintain distributor and dealer pricing, incentive, and rebate programs.
• Draft, review, and negotiate commercial agreements with customers, vendors, and product dealers and distributors.
• Collaborate with regional counsel on cross-border transactions, corporate initiatives, and standardization efforts.
• Support the broader legal team as requested, including with respect to strategic transactions, mergers and acquisitions, regulatory and compliance matters, litigation, and claims.
• Provide advice and legal support regarding marketing and regulatory claims and product certifications, including matters related to sustainability, efficiency,, water quality, and related topics.
• Provide training to company business partners on various contracting, risk management, legal, regulatory, and compliance topics.
• Lead IP related initiatives including maintaining the position as group lead of the cross-functional competitive product analysis team.
• Advise engineering and product management teams in navigating complex IOT, software development, and AI Initiatives in the deployment of products and services.
• Perform special projects and support continuous improvement of legal department standard work, knowledge management, and processes.
• Support policy and process coordination among all constituencies, including enterprise, business unit and regional legal teams, finance and accounting teams, customers, and vendors.
• Provide support on governmental or quasi-governmental inquiries (environmental, safety, customs, or otherwise) as needed.
• Where outside expertise is appropriate, effectively manage the work and expense of external law firms.

Key Qualifications: 

• JD from accredited law school of recognized standing and currently licensed to practice law in the United States
• A minimum of 10 years of legal experience required.
• Has worked  cross-functionally amongst senior business leaders on project-based initiatives.
• Significant experience in establishing best practices and standard work across a matrix organization. Preference given for candidates who have demonstrated the ability to leverage AI based technologies in creating efficient processes and procedures.
• Knowledge and experience with multi-tiered distribution and dealer models, including program management and terminations.
• Oversee trademark portfolio, including clearance work, registrations, renewals and enforcement actions.
• Commercial litigation management experience especially related to contract disputes and dealer terminations is a plus.
• Demonstrated experience drafting and negotiating commercial contracts and transactions.
• Knowledge and experience with regulatory matters and the pool industry is a plus.
• Results oriented, displays sound judgment and ability to balance business considerations and gets results while maintaining effective business relationships with varied constituencies.
• Ability to provide excellent, timely customer service in a fast-paced and quickly-evolving business and regulatory environment.  Enjoys the challenge of unfamiliar and tasks and projects.
• Quick learner who can handle multiple projects simultaneously and work well both independently and as member of a team.
• Demonstrates excellent written and verbal communication skills.  Is able to communicate clearly and succinctly in a variety of communication settings and styles.
• High degree of discretion and judgment; absolute confidentiality and integrity.
• Understands how to effectively prioritize and meet deadlines.  Proactive and reliable.
• Hybrid work available with some travel required.
• Proficiency in use of Microsoft Office, Outlook, Word, Excel, PowerPoint and related computer skills, including legal redlining. Ability to deploy and leverage contract management and legal software research management tools.
