Houlihan Lokey’s Capital Solutions Group provides capital-raising services for a wide variety of clients across industries, from large, publicly held, multinational corporations; to privately held companies, either sponsor-backed or founded and run by entrepreneurs. In partnership with our Industry Coverage teams and Financial Sponsors Group, we combine superior sector knowledge and relationships with significant expertise in structuring and syndicating financings. The group has an unparalleled track record of delivering outlier results to clients by delivering bespoke financing solutions for companies at various stages of the corporate lifecycle, tailored to the individual situation and financing need.
Our Equity Private Placements practice, a dedicated team within the Equity Capital Solutions vertical of the broader Capital Solutions Group, originates, structures, and executes private financings. Members of the Equity Private Placements team work closely with a range of sponsor-backed, family-owned, public, and privately-owned clients, as well as with Houlihan Lokey’s industry coverage, M&A, and financial restructuring teams.
The Equity Private Placements team executes on a variety of private financing transactions, such as growth equity, structured equity, Private Investments in Public Equities (PIPEs), co-invest equity, and other minority equity placements for a variety of situations across industries. Use of proceeds for these transactions include growth capital, acquisition financings, refinancings, dividend recapitalizations, leveraged buyouts (LBOs), and special situations.
In 2024, Houlihan Lokey completed more equity private placements than any other non-balance sheet bank.
The Equity Private Placements team is seeking to recruit a Summer Analyst to join the team in New York, New York for the Summer of 2026. The Summer Analyst will be responsible for supporting Analysts, Associates, and senior bankers on the day-to-day aspects of equity private placement transaction and marketing efforts, as well as other Capital Solutions projects.
Equity Private Placements transactions involve similar stages to M&A deals, e.g. creating marketing materials (CIMs, three-statement financial models), spearheading counterparty diligence, coordinating management meetings, and ultimately structuring/negotiating the financing to close.
You will:
Work on live deals alongside a talented, dedicated staff of seasoned capital-raising professionals who will provide broad exposure to the many different considerations affecting private placement transactions;
Work across various industries/sectors and business models;
Assist with evaluating and structuring customized financing alternatives for a range of clients, including modeling, preparing marketing materials, and preparing structuring analysis, among other activities;
Gain exposure to a variety of investors, including venture capital funds, growth equity funds, private equity funds, hybrid capital funds, co-investment funds, insurance companies, hedge funds, asset managers, and family offices, as well as growth / venture debt providers;
Gain hands-on transaction experience by playing a role on deal teams, with activities and workstreams ranging from initial pitches through closings; and
Broaden your corporate finance and valuation skills relevant to raising capital.

Qualifications
The ideal candidate would possess the following qualities and background:
Currently pursuing a bachelor’s and/or master’s degree with a graduation date between December 2026 and June 2027
Top academic performer and a quick learner capable of performing in an unstructured environment
Proven interest in corporate finance, including valuation, accounting, capital structure analysis, and 3-statement financial modeling
Excellent verbal and written communication skills
Demonstrated leadership qualities that are team-oriented and collegial, including the ability to work cooperatively and constructively with all levels of staff
Very strong work ethic and careful attention to detail
Strong organizational skills and a proven self-starter, with the ability to own a workstream end-to-end

In addition to the Equity Private Placements team, the Equity Capital Solutions team also includes Secondary Solutions (continuation vehicles and sales of LP interests) and Direct Placements (LP-style capital to support single-asset transactions and acquisitions).
