Houlihan Lokey’s Secondaries Advisory Group provides strategic advice and execution services to private equity sponsors and institutional investors navigating the fast-growing market for private equity secondary transactions, expected to reach $200B+ in volume this year. The group specializes in both GP-led transactions—such as continuation vehicles, single- and multi-asset restructurings, and tender offers—as well as LP portfolio sales and fund interest transfers. Members of the Secondaries Advisory Group work with a wide variety of private equity sponsors and institutional investors - across both industry and strategy – and work in tandem with Houlihan Lokey’s industry coverage, M&A and financial restructuring teams.
Continuation Vehicle transactions involve similar stages to M&A processes, e.g., creating marketing materials (teaser, CIM, three-statement financial model, ad hoc materials…), spearheading counterparty diligence, coordinating client and management meetings, and ultimately structuring/negotiating the transaction to close.
During the summer, candidates will work alongside full-time professionals on live deals across a variety of transaction types, as well as pre-launch deal preparation or origination efforts. This role will be based in Houlihan Lokey’s New York office.
Key features of the role include:
Advising clients on their equity story and feeding that into marketing materials for transactions, often in tandem with Houlihan Lokey’s sector-specialist M&A teams
Data-room compilation and management on behalf of clients
Interfacing with clients and institutional investors across the transaction process
Supporting LP diligence and advising the client on ad hoc materials to better position their opportunity in the market
Working across various sectors and business models
Developing a deep understanding of the global Private Equity GP and LP landscape
Origination work including market monitoring, market mapping, opportunity analysis, and pitch preparation
Required Qualifications
Currently pursuing a bachelor’s and/or master’s degree with a graduation date between December 2026 and June 2027
Possess basic knowledge of and a keen interest in corporate finance
Strong qualitative analysis skills and ability to own a workstream end-to-end
Excellent verbal and written communication skills
Strong work ethic and leadership skills
Preferred Qualifications
A fundamental understanding of valuation theory, methodologies, and applications
Strong analytical and computer skills (Excel)
Ability to work cooperatively with all levels of staff
